Terms of Use

These Terms of Use are an agreement between you and ProdigyLabs.ai, a Wyoming corporation ("Prodigy Labs", "we", "us"). They govern your use of Prodigy Labs products and services — mentor conversations, the companion app, and everything described in Section 1 (together, the "Services"). By creating an account or using the Services, you agree to these Terms.

1. The services we provide

1.1 Mentor conversations. We provide voice and text conversations with AI mentors — digital twins built in the style of real experts. Mentors listen, remember, and respond in real time, in your language.

1.2 Personalized guidance and memory. With your knowledge, the Services keep a memory of your conversations so mentors can offer continuity and guidance that builds over time. You can review, export, and delete this memory from Settings at any time.

1.3 Avatar and video experiences. Some mentors appear as rendered avatars with live voice and video. Availability may vary by mentor, plan, and device.

1.4 Safety, security, and integrity. We work to protect your account, verify that the voice on your account is yours, and remove content or behavior that violates these Terms.

1.5 Research and improvement. We use aggregate information about how the Services are used to improve mentors, safety systems, and performance.

2. How our services are funded

The Services are funded by subscriptions, not advertising. We do not sell your personal data and we do not show you third-party ads. Some features are available free of charge; others require a paid plan. Billing terms, prices, and cancellation are presented at purchase and in Settings. Our Privacy Policy describes what we collect and why.

3. Your commitments

3.1 Who can use Prodigy Labs. You must be at least 18 years old. You agree to provide accurate account information, maintain one account, and not use the Services if we have previously disabled your account for violating these Terms.

3.2 What you may not do. You may not use the Services to:

• break the law, or infringe anyone's rights, including intellectual property rights;
• upload malicious code or interfere with the operation of the Services;
• access or collect data from the Services by automated means without our written permission;
• share your credentials, sell access to your account, or impersonate another person;
• circumvent safety systems, usage limits, or technological protections;
• generate or solicit content that exploits or endangers anyone, or attempt to make mentors do so.

We may remove content and restrict accounts that violate these rules.

3.3 The permissions you give us. You own the content you bring to your conversations. So that we can operate the Services, you grant us a worldwide, non-exclusive, royalty-free license to host, store, process, and display that content — including processing your voice to transcribe speech, verify that the speaker is you, and generate mentor responses. This license is for operating and improving the Services and ends when your content is deleted. Deleting memory in Settings removes it from your experience immediately and from our systems within 90 days. We may update the software you use as needed to keep the Services working.

3.4 Limits on using our intellectual property. The Services, mentor personas, likenesses, names, and voices, and the Prodigy Labs brand are protected by law. You may not copy, resell, reverse engineer, or create derivative works from them except as the law expressly permits.

4. About AI mentors

Mentor responses are generated by artificial intelligence in the style of real experts. A mentor is not the person it is styled after, and nothing a mentor says is said by, or on behalf of, that person. Mentors are provided for guidance, learning, and inspiration. They are not professional advice — no mentor response is medical, legal, financial, or psychological advice, and mentors can be wrong. Decisions you make remain your own. If you are in crisis, contact local emergency services or a qualified professional.

5. Additional provisions

5.1 Updating these Terms. We may update these Terms as the Services and the law evolve. If we make material changes, we will notify you at least 30 days before they take effect. Continuing to use the Services after that date means you accept the updated Terms; if you do not, you may cancel your subscription and delete your account.

5.2 Suspension and termination. We may suspend or terminate your access if you seriously or repeatedly violate these Terms, or if we are required to by law. Where appropriate, we will tell you why. Sections 3.4, 4, and 5 survive termination.

5.3 Disclaimers and limits on liability. THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TO THE EXTENT PERMITTED BY LAW, OUR AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE SERVICES IS LIMITED TO THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE PAST TWELVE MONTHS.

5.4 Disputes. These Terms are governed by the laws of the State of Wyoming, without regard to conflict-of-law rules. Disputes will be resolved exclusively in the state or federal courts located in Wyoming, and you and Prodigy Labs consent to personal jurisdiction there.

5.5 Miscellaneous. These Terms are the entire agreement between you and us regarding the Services. If any provision is found unenforceable, the rest remains in effect. You may not transfer your rights under these Terms without our consent. Our not enforcing a provision is not a waiver. Feedback you send us may be used without obligation to you.
